These LootX Terms of Service ("Terms") govern the relationship between Grenco Limited, a private company limited by shares, incorporated under the laws of the Hong Kong Special Administrative Region of the People's Republic of China, Business Registration No. 77682394, registered address: Room 5003, 5/F, Yau Lee Centre, 45 Hoi Yuen Road, Kwun Tong, Kowloon, Hong Kong ("LootX", "Operator", "we", "us" or "our"), and the individual using the Service ("User", "you" or "your").

Please read these Terms carefully before creating an Account, logging into the Service, purchasing a Loot Box, opening a Loot Box or using any other functionality of the Service. By using the Service, the User confirms that they have reviewed the Terms, understand their content and accept them in full.

If the User does not agree with the Terms in whole or in part, they must stop using the Service and must not create an Account, purchase or open Loot Boxes, use the Inventory or request the Withdrawal of Digital Items.

These Terms apply together with:

  • the LootX Terms of Sale ("Terms of Sale");
  • the LootX Privacy Policy ("Privacy Policy");
  • information, warnings, rules and restrictions posted in the Service interface;
  • the terms and rules of third-party services, including Steam, payment service providers, Digital Item delivery providers and game publishers/rights holders.

In the event of a conflict between these Terms and the Terms of Sale regarding the purchase of Loot Boxes, payment, opening of Loot Boxes, refunds, withdrawal and other transactional matters, the Terms of Sale prevail. Mandatory provisions of applicable consumer protection law prevail over the provisions of these Terms to the extent that such provisions cannot be limited by agreement of the parties.

Terms not defined in this section are interpreted based on their ordinary meaning, the context of the Service, the Terms of Sale and applicable law.

2. Subject Matter of the Terms and Status of the Service

2.1.The Operator provides the User with limited, personal, revocable, non-exclusive, non-transferable and non-sublicensable access to the Service exclusively for the purposes of their personal non-commercial use, subject to compliance with these Terms, the Terms of Sale and applicable law.

2.2.The Service allows the User, where technically possible and subject to applicable conditions:

  • to create or use an Account;
  • to review the Loot Box showcase;
  • to view the price of a Loot Box, possible contents and other information displayed before purchase;
  • to purchase Loot Boxes in the manner determined by the Terms of Sale;
  • to open purchased Loot Boxes;
  • to receive Digital Items determined randomly upon Opening;
  • to view credited Digital Items in the Internal Inventory;
  • to send a request for the Withdrawal of available Digital Items to a Steam account, into a game or to another compatible third-party platform via an External Provider.

2.3.The Service is not a banking, payment, investment, brokerage, depository, exchange, trading, insurance or other financial service. The Operator does not accept funds for safekeeping, does not open payment accounts, does not issue electronic money and does not grant the User the right to monetary buyback of Digital Items, unless this is expressly required by mandatory provisions of applicable law.

2.4.Loot Boxes and Digital Items are provided in a digital environment. The User does not acquire ownership of the Service software, database, interface, Loot Box mechanics, Inventory, brands, intellectual property of the Operator or the rights of third parties. The scope of the User's rights is limited to those rights of use and access that are expressly granted by these Terms, the Terms of Sale and applicable third-party rules.

2.5.Nothing in the Service, these Terms or the Terms of Sale constitutes an offer to purchase, sell, exchange, invest in, store, redeem or convert a financial instrument, electronic money, crypto asset, security, goods with a guaranteed value or another regulated financial product.

3. Availability, Age and Territory of Use

3.1.The Service is intended exclusively for persons who have reached the age of 18 on the date of creating an Account, using the Service, purchasing a Loot Box and Opening a Loot Box.

3.2.By creating an Account, authorizing via Steam, using the Service or performing any operation in the Service, the User confirms and guarantees that:

  • they have reached the age of 18;
  • they have full legal capacity and are entitled to enter into a legally binding agreement;
  • they act on their own behalf, and not in the interests of, on behalf of or at the expense of another person without proper authority;
  • they use their own Steam account and their own or lawfully used payment instrument;
  • they are located in a country or territory where the use of the Service is permitted;
  • they are not located in a Restricted Territory;
  • they are not included in applicable sanctions, restrictive or prohibitory lists;
  • their use of the Service does not violate applicable law, the rights of third parties, the rules of Steam, the rules of the relevant game, the rules of an External Provider or the terms of the Payment Infrastructure.

3.3.The Operator does not provide the Service and may restrict access to it in whole or in part for Users who are located in a Restricted Territory, do not meet age requirements, do not pass an applicable check or create legal, sanctions, payment, technical, fraud or reputational risks.

3.4.The Operator may use technical and organizational measures to verify compliance with this section, including IP geolocation, analysis of the country of the payment instrument, Steam account data, device data, anti-fraud signals, age verification, requesting documents and other reasonably necessary methods.

3.5.The User is prohibited from circumventing or attempting to circumvent age, territorial, sanctions, technical or other restrictions, including the use of VPN, proxy, Tor, geolocation spoofing tools, other people's accounts, false documents, virtual payment instruments or other methods of concealing actual circumstances.

3.6.The availability of the Service in any country, the display of the Website in a particular language, the ability to open a Service page or process a payment does not mean that the Service, the purchase of Loot Boxes, Opening or Withdrawal are permitted or licensed in the country where the User is located.

4. Registration, Account and Steam Authorization

4.1.To use certain functions of the Service, including the purchase of Loot Boxes, Opening and Withdrawal, the User may need to create an Account or authorize via Steam.

4.2.If authorization is carried out via Steam, the User is independently responsible for compliance with the Steam Subscriber Agreement, the Steam Community rules, the rules of the relevant game, the requirements of Valve Corporation and other applicable Steam terms.

4.3.The Operator does not receive and must not receive the User's Steam password. The User must carry out authorization only through the official or technically provided Steam mechanism and must not transfer their credentials to the Operator, an External Provider, other Users or third parties.

4.4.The User must ensure the confidentiality of access data to the Account, Steam account, email, devices and other authentication means used to access the Service. All actions performed through the User's Account are considered to be performed by the User until the Operator receives a substantiated notification of unauthorized access.

4.5.The User must immediately notify the Operator at lootx@overpay.io of a suspected hack, loss of control over the Account or Steam account, unauthorized access, use of another person's payment instrument, a suspicious operation or another security threat.

4.6.The User may not:

  • create, use or control multiple Accounts, unless the Operator has expressly permitted otherwise;
  • transfer, sell, lease, gift, exchange or otherwise alienate the Account;
  • provide third parties with access to the Account;
  • log into the Service using a Steam account that does not belong to the User or that the User has no lawful authority to use;
  • impersonate another person, use another person's personal data or create a fictitious identity;
  • use the Account for commercial purposes without the written consent of the Operator.

4.7.The Operator may, but is not obliged to, limit the number of Accounts linked to one device, IP address, Steam account, payment instrument, email address, person or other identifier.

5. Internal Inventory and Digital Items

5.1.After the Opening of a Loot Box, the Digital Item determined in accordance with the Loot Box mechanics is reflected in the User's Internal Inventory, provided the relevant technical operation is successfully completed.

5.2.The Inventory is exclusively a technical accounting interface of the Service. The Inventory is not:

  • a bank account;
  • a payment account;
  • an electronic money account;
  • a deposit, deposit or means of storing funds;
  • an investment product;
  • a financial instrument;
  • a crypto asset;
  • a guaranteed monetary claim against the Operator;
  • a trading platform, exchange or secondary market.

5.3.The crediting of a Digital Item to the Inventory does not constitute a guarantee of its actual, market, nominal, investment, exchange or resale value. The Operator does not guarantee that the Digital Item:

  • has a specific value;
  • can be sold, exchanged, transferred or converted;
  • will be admitted to circulation on the Steam Community Market, another trading platform or in a game;
  • can be withdrawn at any time;
  • will be compatible with every Steam account, game, region or device;
  • will retain availability, rarity, visual characteristics, applicability or value after Withdrawal.

5.4.Digital Items may be restricted by the rules of Steam, Valve, the relevant publisher, game developer, External Provider, technical limitations, trade hold, regional restrictions, Steam account blocks, game changes, changes in third-party policy or other circumstances beyond the Operator's control.

5.5.The User may not use the Inventory or Digital Items as a means of payment, security for obligations, a means of storing value, a financial instrument, a means of transferring value between persons, an object of pledge, an object of illegal activity or in any other way not provided by the functionality of the Service.

5.6.The User may not sell, transfer, exchange, gift, encumber, lease or otherwise dispose of the Inventory or access rights to it outside the functionality provided by the Operator, unless otherwise expressly required by mandatory provisions of applicable law.

5.7.The Operator may adjust Inventory records in the event of a confirmed technical error, duplicate crediting, integration error, failed or cancelled payment, fraudulent operation, chargeback, erroneous Withdrawal, violation of these Terms or other circumstances in which maintaining the record would contradict the actual result of the operation, these Terms or applicable law.

5.8.Before making an adjustment, the Operator, where reasonably possible, notifies the User of the reasons and nature of the adjustment. Prior notification may not be provided if it could impede the investigation of fraud, protection of security, compliance with a requirement of a competent authority, prevention of harm, or if immediate measures are objectively necessary.

6. Withdrawal of Digital Items

6.1.The User may request the Withdrawal of a Digital Item displayed in their Inventory as available for Withdrawal, through the functionality provided by the Service.

6.2.Withdrawal may be carried out via an External Provider to the User's Steam account, into the relevant game or to another compatible platform supported by the Service at the time of the request.

6.3.The User confirms that Withdrawal:

  • depends on the technical availability of the Service, Steam, the game and the External Provider;
  • may require linking a Steam account, providing a Steam Trade URL or other technical data;
  • may be limited by the rules of Steam, the game publisher, the External Provider, trade hold, privacy settings, trust level, account status, regional restrictions or other third-party conditions;
  • may be temporarily unavailable due to an update, maintenance, technical failure, security check, lack of technical resources or other circumstances;
  • is not a monetary payment, cash-out, buyback, exchange for money or a guaranteed right to receive an amount equivalent to the estimated value of the item.

6.4.The User may request Withdrawal only to a Steam account or other supported platform account belonging to them, unless otherwise expressly permitted by the Operator. The User is responsible for the correctness of the data provided for Withdrawal.

6.5.The Operator is not liable for the impossibility, delay, refusal or restriction of Withdrawal if they are caused by:

  • data incorrectly provided by the User;
  • restrictions, blocks, trade hold or violations on the side of the Steam account;
  • the rules of Steam, Valve, the publisher, the game developer or the External Provider;
  • restrictions on territory, age, sanctions or applicable law;
  • actions or inaction of the User;
  • force majeure circumstances;
  • circumstances beyond the Operator's reasonable control.

6.6.If the Withdrawal did not take place for reasons not related to a violation by the User of these Terms, the Operator will make reasonable efforts to reprocess the request, restore the item to the Inventory or provide another solution appropriate to the nature of the problem and applicable law. This provision does not guarantee replacement of the item, monetary compensation or provision of an alternative item, unless this is required by applicable law or determined by the Operator in a specific situation.

6.7.After confirmed transfer of a Digital Item to the User's external account, the Operator does not control the further use, storage, transfer, sale, exchange, blocking, deletion, modification or loss of such item on the side of Steam, the game or another external platform.

7. Permitted Use of the Service

7.1.The User must use the Service in good faith, personally, lawfully, in accordance with these Terms, the Terms of Sale, the Privacy Policy, mandatory provisions of applicable law and applicable third-party rules.

7.2.The User must provide accurate, current and complete information in cases where the Service or the Operator requests such information for registration, verification, payment, security, Withdrawal, consideration of a claim or compliance with applicable requirements.

7.3.The User must independently ensure the availability of a compatible device, software, internet connection, Steam account, privacy settings, technical permissions and other means necessary to use the Service and receive Digital Items.

7.4.The User is responsible for compliance with the requirements of their local legislation, including requirements related to the use of digital services, age, payments, taxation, currency regulation, import of digital items and other applicable norms.

8. Prohibited Actions

8.1.The User is prohibited, directly or indirectly, from:

  • using the Service before reaching the age of 18;
  • using the Service from a territory where it is prohibited or restricted;
  • circumventing age, geographic, sanctions, technical, payment, anti-fraud or other restrictions;
  • using VPN, proxy, Tor, emulators, IP spoofing tools, geolocation spoofing, devices or other tools to circumvent restrictions;
  • using another person's Steam account, another person's payment instrument, another person's documents, another person's data or another person's identity;
  • creating multiple Accounts, unless this is permitted by the Operator;
  • transferring, selling, buying, leasing, exchanging or otherwise alienating the Account;
  • using bots, scripts, macros, automated tools, web scraping, data mining, reverse engineering, exploit tools or other means of automatic interaction with the Service;
  • interfering with the operation of the Service, the random mechanics, the interface, the program code, the API, databases, the payment system, the Inventory accounting system or the Withdrawal process;
  • attempting to predict, change, forge, reproduce or manipulate the random result of the Opening;
  • using errors, vulnerabilities, delays, price discrepancies, integration failures or other technical anomalies for their own benefit;
  • carrying out or attempting to carry out card testing, payment fraud, friendly fraud, false chargeback, false statements about an unauthorized operation or other payment fraud;
  • using the Service for money laundering, circumvention of sanctions, financing of prohibited activities, fraud, trade in stolen items, deception of third parties or other illegal activities;
  • impersonating the Operator, an employee of the Operator, an External Provider, Valve, Steam, a game publisher or another person;
  • posting, transmitting or using in connection with the Service malicious code, viruses, ransomware, spyware, malicious links or other materials capable of disrupting the security of the Service;
  • violating intellectual property rights, trademark rights, database rights, confidential information rights, image rights or other rights of third parties;
  • using the Service for commercial gain, intermediation, resale of access, organization of a third-party showcase, arbitrage, farming or other commercial purposes without the prior written consent of the Operator;
  • performing actions capable of causing harm to the Operator, other Users, the Payment Infrastructure, Steam, External Providers, rights holders or third parties.

8.2.The list of prohibited actions is not exhaustive. The Operator may assess and suppress other actions that, in the Operator's reasonable assessment, create a risk of violation of law, security, fairness of operations, the rights of third parties or these Terms.

9. Checks, Restrictions, Suspension and Termination of Access

9.1.In order to protect Users, the Operator, the Payment Infrastructure, Steam, External Providers and third parties, the Operator may conduct checks, including automated and manual analysis of operations, Account behavior, IP address, device data, Steam data, payment data, Opening history, Withdrawal data, complaints, chargeback, sanctions risks and other available information.

9.2.Where there are reasonable grounds, the Operator may request from the User documents or information to confirm age, identity, country of residence, ownership of a Steam account, lawfulness of use of a payment instrument, circumstances of an operation or other facts essential for security and compliance with the Terms.

9.3.The Operator may, without prior notification or with subsequent notification, if permitted by applicable law:

  • restrict individual functions of the Service;
  • suspend access to the Account;
  • prohibit the purchase or Opening of Loot Boxes;

  • reject a suspicious payment;
  • adjust erroneous Inventory records;
  • terminate the Account;
  • transfer information to competent authorities, the Payment Infrastructure, an External Provider or other persons in the cases and to the extent permitted by law.

9.4.The grounds for applying measures under this section may include, in particular:

  • violation or suspected violation of the Terms, the Terms of Sale or applicable law;

  • a requirement of a competent authority, payment provider, Steam, an External Provider or a rights holder;
  • a threat to the security of the Service, other Users or third parties;
  • violation of intellectual property rights or other rights of third parties.

9.5.The measures applied by the Operator must be proportionate to the nature and degree of risk, as far as possible taking into account security requirements, fraud prevention and applicable law.

9.6.If the User's access is restricted or terminated, the Operator, where reasonably possible and does not impede investigation, security, law enforcement or protection of third-party rights, sends the User a notification with general information about the reason for the restriction and the available procedure for contacting.

9.7.Restriction or termination of access does not release the User from obligations that arose before such measure, including obligations to compensate for damage, settle chargeback, return erroneously obtained advantage and respect the rights of third parties.

10. Payment Operations and Disputed Payments

10.1.The purchase of Loot Boxes, the payment procedure, price, moment of conclusion of the contract, Opening, refunds and disputed operations are governed by the Terms of Sale.

10.2.The User undertakes to use for payment only a payment instrument that belongs to the User or for the use of which the User has lawful and proper permission.

10.3.The User may not initiate a chargeback, dispute, payment refund or other payment challenge procedure without a good-faith prior contact with the Operator, if the circumstances allow such contact. This provision does not limit the mandatory rights of the User, including the right to contact a bank, payment provider, consumer authority or court in cases provided by applicable law.

10.4.If the User initiates a chargeback or another disputed procedure, the Operator may, for the period of consideration, restrict access to the Account, Opening, Inventory, Withdrawal and related functions to the extent reasonably necessary to prevent fraud, double benefit, repeated Withdrawal or harm.

10.5.The User must, upon a reasonable request of the Operator, provide information and documents necessary to investigate a disputed operation, including confirmation of ownership of the Account, Steam account, payment instrument or the actual circumstances of the transaction.

11. External Services and Third Parties

11.1.The Service may contain links, integrations or functionality relating to Steam, Valve, External Providers, the Payment Infrastructure, games, publishers, developers, rights holders and other independent third parties.

11.2.Such third parties independently determine their terms of use, rules, privacy policies, technical limitations, availability of services, admission criteria, commission, terms, trade hold and other conditions. The User must independently review the applicable third-party rules.

11.3.The Operator is not Valve Corporation, Steam, a publisher, a game developer, an External Provider or the Payment Infrastructure, unless expressly stated otherwise. The Operator is not authorized to make decisions on behalf of such persons and is not liable for their independent actions, decisions, unavailability, blocks, changes in rules or technical failures.

11.4.Mention of Steam, Valve, games, game items, trademarks or other designations of third parties is used solely for the purpose of describing compatibility, unless otherwise stated by the Operator. Such mention does not imply partnership, affiliation, endorsement, sponsorship or license on the part of the relevant rights holder.

12. Intellectual Property

12.1.All rights to the Service, the Website, software, program code, databases, design, interface, LootX logos, texts, images, graphics, audiovisual materials, domain names, algorithms, data structure and other objects owned by the Operator or provided to it on a lawful basis belong to the Operator or the relevant rights holders.

12.2.The User is granted a limited right to use the Service exclusively for personal non-commercial purposes and only within its functionality. No rights are transferred to the User by default or by implication.

12.3.The User may not copy, reproduce, distribute, modify, create derivative works, decompile, disassemble, carry out reverse engineering, extract data, publish, sell, license or otherwise use the Operator's intellectual property without the prior written consent of the Operator, except in cases where such actions are expressly permitted by mandatory provisions of applicable law.

12.4.Trademarks, logos, game names, images and other objects of third parties belong to the relevant rights holders. The User does not acquire any rights to such objects in connection with the use of the Service.

13. Availability, Technical Changes and Errors

13.1.The Operator makes reasonable efforts to maintain the operability of the Service, but does not guarantee that the Service will be available continuously, without errors, delays, vulnerabilities, data loss, interruptions or incompatibility with any device, browser, network, Steam account, game or external platform.

13.2.The Operator may temporarily restrict, change, update, suspend or terminate the operation of the Service or individual functions for technical work, improving security, complying with law, rectifying errors, integrating with third parties, preventing fraud or for other reasonable reasons.

13.3.The Operator may correct obvious errors in the description of a Loot Box, price, displayed contents, availability, Inventory, Withdrawal or other information of the Service. If the error materially affects an already completed operation of the User, the Operator acts in accordance with applicable law and, where applicable, offers a reasonable solution.

13.4.The User must immediately notify the Operator of a discovered error, vulnerability, failure or other security breach at lootx@overpay.io and may not use them for gain.

14. Notifications and Communication with the User

14.1.The Operator may send notifications to the User through the Service interface, the Account, the Steam integration, the email specified by the User or other available means of communication, if this is permitted by applicable law.

14.2.The User may contact the Operator:

  • on matters of the operation of the Service and support: lootx@overpay.io;
  • via Telegram: @lootxspacebot;
  • on legal matters and claims: lootx@overpay.io, unless the Operator has published another official address.

14.3.The User must keep the data provided to the Operator up to date. The risks associated with the inability to receive a notification due to inaccurate or outdated User data are borne by the User.

14.4.For prompt consideration of a request, the User must, if applicable, specify the Account identifier, Steam account, date and time of the operation, order/payment identifier, description of the problem and attach supporting materials.

15. Disclaimer of Warranties

15.1.To the maximum extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis, without any express or implied warranties, including warranties of uninterrupted availability, fitness for a particular purpose, absence of errors, constant compatibility, data safety, specific value of Digital Items or successful Withdrawal.

15.2.The Operator does not guarantee:

  • the User's receipt of a specific Digital Item, rarity, appearance or value;
  • compliance of the Digital Item with the User's subjective expectations;
  • the possibility of further sale, exchange, transfer or use of the Digital Item on an external platform;
  • the availability of each Loot Box, Digital Item, game, Steam function or External Provider;
  • the absence of restrictions on the part of Steam, Valve, the game, the publisher, the developer, the payment provider or the External Provider;
  • the lawfulness of the User's use of the Service in any particular country or territory.

15.3.Nothing in this section excludes or limits the User's rights that cannot be excluded or limited by mandatory provisions of applicable law, including mandatory consumer rights.

16. Limitation of Liability

16.1.To the maximum extent permitted by applicable law, the Operator is not liable for indirect, incidental, special, punitive or consequential damages, including lost profits, loss of estimated value, reduction in value, loss of the opportunity to sell, exchange or use a Digital Item, data loss, reputational losses or other indirect damages.

16.2.The Operator is not liable for the actions, inaction, decisions, restrictions, blocks, trade hold, changes in rules, technical failures or unavailability of Steam, Valve, game publishers, developers, External Providers, the Payment Infrastructure, internet providers and other independent third parties, unless the relevant circumstance is caused by the Operator's culpable actions.

16.3.To the maximum extent permitted by applicable law, the Operator's aggregate liability to the User for any claims related to the Service may not exceed the total amount actually paid by the User to the Operator for Loot Boxes during the 12 months immediately preceding the circumstance that served as the basis for the claim.

16.4.The limitations of liability provided by these Terms do not apply to the extent that they are prohibited by applicable law, including liability for intentional violation, fraud, harm to life or health, as well as other types of liability that cannot be excluded or limited by agreement of the parties.

17. Indemnification

17.1.To the maximum extent permitted by applicable law, the User undertakes to indemnify the Operator, its affiliates, directors, employees, contractors and representatives for documented losses, expenses, claims, sanctions, commissions, chargeback losses and defense costs arising as a result of:

  • violation by the User of these Terms, the Terms of Sale or applicable law;
  • use of another person's Steam account, payment instrument or personal data;
  • fraudulent, illegal or bad-faith activity of the User;
  • violation by the User of the rights of third parties;
  • false or bad-faith challenge of an operation;
  • provision by the User of inaccurate information.

17.2.This section applies taking into account mandatory provisions of applicable law, including consumer protection norms, and does not impose on the User liability for circumstances for which they are not liable by law.

18. Claims and Dispute Resolution

18.1.Before applying to a court or other competent authority, the User may send a claim to the Operator at lootx@overpay.io with a description of the circumstances, requirements and attachment of available supporting documents.

18.2.The Operator considers requests within a reasonable time, taking into account the complexity of the matter, the need to verify operations, interaction with the Payment Infrastructure, Steam, an External Provider or other third parties.

18.3.These Terms are governed by the law of the Hong Kong Special Administrative Region of the People's Republic of China, unless otherwise required by mandatory rules of the law of the country of the User's habitual residence.

18.4.Nothing in these Terms deprives a User who is a consumer of the protection granted to them by mandatory rules of the law of their country of habitual residence, if such rules are applicable and cannot be excluded by agreement of the parties.

18.5.Disputes that could not be resolved through negotiations are subject to consideration by a competent court in accordance with applicable procedural law and mandatory rules on jurisdiction. The User is not limited in the right to apply to a competent authority or court if such right is granted to them by mandatory provisions of applicable law.

19. Amendment of the Terms

19.1.The Operator may from time to time amend these Terms for reasons including changes in legislation, requirements of regulators, third-party rules, Service functionality, payment methods, security measures, fraud prevention methods or the Operator's business processes.

19.2.The new version of the Terms is posted on the Website with the effective date and the last updated date. If the changes are material and require notification under applicable law, the Operator sends the User reasonable prior notice through the Service, the Account or another available communication channel.

19.3.Changes apply primarily to future use of the Service and must not worsen the User's rights under an already completed and fully paid purchase, except in cases where the change is necessary to comply with law, prevent fraud, rectify an error or protect security.

19.4.Continued use of the Service after the effective date of the new version of the Terms means the User's acceptance of the amended Terms, if such method of obtaining consent is permitted by applicable law.

20. Final Provisions

20.1.If any provision of these Terms is recognized as invalid, illegal or unenforceable, such provision is to be applied to the maximum extent permitted by law, and the remaining provisions remain in force.

20.2.The Operator's failure or delay in exercising any right is not a waiver of such right.

20.3.The User may not transfer their rights and obligations under these Terms to third parties without the prior written consent of the Operator. The Operator may transfer the rights and obligations under these Terms in connection with reorganization, sale of business, transfer of assets, involvement of a successor or another lawful corporate transaction, subject to compliance with applicable law.
