These LootX Terms of Sale ("Terms of Sale") govern the purchase by Users of digital loot boxes through the LootX Service. The Terms of Sale are concluded between Grenco Limited, a private company limited by shares, incorporated under the laws of the Hong Kong Special Administrative Region of the People's Republic of China, Business Registration No. 77682394, registered address: Room 5003, 5/F, Yau Lee Centre, 45 Hoi Yuen Road, Kwun Tong, Kowloon, Hong Kong ("LootX", "Operator", "we", "us" or "our"), and the individual purchasing a Loot Box ("User", "you" or "your").
These Terms of Sale apply together with the LootX Terms of Use ("Terms of Use") and the LootX Privacy Policy. Capitalized terms not defined in these Terms of Sale have the meanings established in the Terms of Use. In the event of a conflict, the Terms of Sale prevail on matters of the purchase of Loot Boxes, price, payment, opening, crediting of Digital Items, Withdrawal, cancellations, refunds and payment disputes.
Nothing in these Terms of Sale excludes or limits the mandatory rights of the User that are granted by applicable law and cannot be excluded by agreement of the parties.
1. Subject Matter of the Terms of Sale
1.1.The Operator provides the User with the opportunity to top up in advance the balance available in the Service, select a digital Loot Box and initiate its purchase and Opening by pressing the "Open" button or another clearly designated action in the Service interface. The debiting of the Loot Box price from the balance and the Opening are carried out within a single user operation.
1.2.A Loot Box is a digital product with random contents. Upon Opening, the User receives one Digital Item determined randomly in accordance with the mechanics of the relevant Loot Box.
1.3.The User does not choose the specific Digital Item that will be determined as a result of the Opening. Purchasing a Loot Box does not guarantee receipt of an item of a specific name, rarity, appearance, value, liquidity, possibility of resale, exchange, transfer or Withdrawal.
1.4.Information about available Loot Boxes, their price, possible contents, applicable drop probability information and other material terms is displayed on the Website or in the Service interface before the User presses the "Open" button.
2. Conditions of Purchase and User Eligibility
2.1.Only a User who meets the requirements of the Terms of Use, including being at least 18 years of age, having legal capacity, being outside a Restricted Territory and complying with applicable law, is entitled to purchase a Loot Box.
2.2.The User confirms that they are purchasing the Loot Box exclusively for personal non-commercial use, in their own name, using their own or lawfully used payment instrument and in accordance with the Terms of Use, these Terms of Sale, the rules of Steam, applicable games, External Providers and the Payment Infrastructure.
2.3.The Operator may refuse to process an order, decline a payment, suspend a purchase, Opening or Withdrawal if this is necessary to comply with law, the requirements of the Payment Infrastructure, prevent fraud, comply with age, territorial, sanctions or other restrictions, as well as in other cases provided by the Terms of Use.
3. Information about Loot Boxes and the Random Nature of the Result
3.1.Before the Opening, the User may review the information displayed for the selected Loot Box, including its name, price, possible contents, applicable drop probability information, as well as applicable restrictions and warnings.
3.2.The User is obliged, before pressing the "Open" button, to independently verify that the selected Loot Box corresponds to their intention, and to review the displayed price, possible contents, applicable drop probability information and the random nature of the result.
3.3.The Digital Item is determined randomly upon Opening in accordance with the technical mechanics of the relevant Loot Box. The Operator does not guarantee receipt of a specific item, an item of a specific value, or an item suitable for use, transfer or circulation on any external platform.
3.4.Any information about the name, rarity, estimated value, market price, listing price, availability, applicability or liquidity of a Digital Item, if displayed in the Service, is purely informational and does not constitute a guarantee, an offer to buy back, a promise of monetary payment, a guarantee of resale or confirmation of a specific value of the item.
3.5.The purchase of a Loot Box is not an investment, a financial transaction, a means of generating income, a guaranteed means of obtaining economic benefit, a bet, a deposit, an electronic money operation or the acquisition of a financial instrument.
4. Price, Taxes and Price Changes
4.1.The price of each Loot Box is indicated in the Service interface immediately before its Opening. The applicable price is the price displayed for the selected Loot Box at the moment the User presses the "Open" button or performs another clearly designated action initiating the debiting of the Loot Box price from the balance.
4.2.The Operator may change the prices of Loot Boxes at any time in respect of future Openings. A price change does not affect an operation for which the Loot Box price has already been successfully debited from the User's balance.
4.3.Information about applicable taxes, mandatory fees and commissions, if charged to the User, is provided to the extent and in the manner provided by applicable law, before confirmation of the order or during the payment process.
4.4.The User is responsible for any taxes, fees, currency costs or other payments that may arise for them in connection with the use of the Service, the purchase of a Loot Box, the receipt or Withdrawal of a Digital Item, except for taxes and mandatory payments that the Operator is obliged by law to calculate and pay.
5. Top-Up of the Balance, Debiting of the Loot Box Price and Conclusion of the Contract
5.1.The User may top up in advance the balance available in the Service via the available Payment Infrastructure. The top-up of the balance by itself does not mean the purchase or Opening of a specific Loot Box.
5.2.To purchase and Open a Loot Box, the User selects the relevant Loot Box in the Service interface, checks the price and other displayed information, confirms agreement with the applicable documents and presses the "Open" button or performs another clearly designated action. Such action simultaneously initiates the debiting of the price of the selected Loot Box from the User's available balance and, upon successful debiting, its Opening.
5.3.The Operator may use an independent Payment Infrastructure to process the top-up of the balance. The Operator does not store the full details of the User's bank card, unless otherwise expressly stated in the applicable interface and permitted by applicable law.
5.4.The contract for the purchase of the selected Loot Box is considered concluded after the successful debiting of its price from the User's balance and confirmation of the operation by the Service. After successful debiting, the Loot Box is opened without a separate stage of storing the purchased but unopened Loot Box.
5.5.Authorization or the successful completion of a balance top-up operation by itself does not mean the purchase of a specific Loot Box. If, at the moment the "Open" button is pressed, the debiting of the Loot Box price from the balance has not occurred, the Opening and determination of the Digital Item are not carried out.
5.6.If the Loot Box price was debited from the balance but the Opening was not completed or the Digital Item was not credited to the Inventory due to a technical error, the User must contact support and provide the available information about the operation. The Operator will conduct a review and take an applicable decision: reprocess the operation, credit the proper Digital Item, restore the relevant amount to the balance or make another appropriate correction or refund, if required by applicable law.
5.7.The User agrees to receive electronic confirmation of the balance top-up, the debiting of the Loot Box price, the Opening, an electronic receipt and other electronic messages relating to the relevant operations and the performance of the contract.
6. Opening of the Loot Box
6.1.To Open a Loot Box, the User selects the relevant Loot Box and presses the "Open" button or performs another clearly designated action in the Service interface.
6.2.Pressing the "Open" button simultaneously initiates the debiting of the price of the selected Loot Box from the User's available balance and, upon successful debiting, the Opening of the Loot Box.
6.3.After successful debiting of the price, the Service applies the random mechanics of the relevant Loot Box and determines one Digital Item from the list of possible contents displayed for such Loot Box.
6.4.The determined Digital Item is credited to the User's Internal Inventory after the successful completion of the technical operation.
6.5.The User does not choose a specific Digital Item before or after the Opening. Before pressing the "Open" button, the User must review the price of the Loot Box, the possible contents, the applicable drop probability information and the random nature of the result.
6.6.No separate stage of storing a purchased but unopened Loot Box is provided: upon successful debiting of the price from the balance, the Opening and determination of the Digital Item are carried out within the same operation.
6.7.If applicable law requires separate consent to the immediate provision of digital content or separate confirmation of the consequences of such provision for the right to withdraw from the contract, the Operator obtains such consent and confirmation in the Service interface before the Opening. The absence of such consent does not deprive the User of rights granted by mandatory provisions of applicable law.
7. Crediting to the Inventory
7.1.A Digital Item is considered provided to the User after its successful crediting and display in the User's Internal Inventory, unless another moment is established by mandatory provisions of applicable law.
7.2.The Inventory is a technical accounting interface and is not a bank account, payment account, electronic money, deposit, financial instrument, investment asset or monetary claim against the Operator.
7.3.Inventory records may be adjusted in the cases and in the manner provided by the Terms of Use, including a confirmed technical error, duplicate crediting, cancelled or failed payment, fraudulent operation, chargeback, erroneous Withdrawal or violation by the User of applicable terms.
7.4.The User must, without undue delay, notify the Operator of non-crediting, double crediting, an incorrect item, a technical failure or any other suspected error through an available support channel.
8. Withdrawal of Digital Items via an External Provider
8.1.After a Digital Item is credited to the Inventory, the User may request its Withdrawal to their Steam account, to the relevant game or to another supported platform via an External Provider, if the relevant item is displayed as available for Withdrawal.
8.2.Withdrawal is a separate technical process and depends on the availability of the Service, Steam, the game, the External Provider, item compatibility, Steam account status, trade hold, privacy settings, regional restrictions, third-party rules, security requirements and other circumstances beyond the Operator's reasonable control.
8.3.The User may request Withdrawal only to a Steam account or other supported platform account belonging to them. The User is responsible for the correctness of the identifiers, Steam Trade URL and other data provided for Withdrawal.
8.4.Withdrawal is not a monetary payment, cash-out, guaranteed buyback, exchange for money or confirmation of the value of a Digital Item. The Operator does not guarantee the possibility of subsequent sale, exchange, transfer, use or conversion of the item after its Withdrawal.
8.5.In the event of an unsuccessful Withdrawal for reasons not related to a violation by the User of the Terms, the Operator will make reasonable efforts to reprocess the request, restore the item to the Inventory or provide another solution appropriate to the nature of the technical problem and applicable law.
8.6.After confirmed transfer of the item to the User's external account, the Operator does not control the subsequent actions of Steam, Valve, the game, the External Provider or the User in relation to such item.
9. Cancellation, Right of Withdrawal and Refunds
9.1.The terms of order cancellation, the right to withdraw from the contract and refunds are determined by this Section, taking into account mandatory provisions of applicable law. Nothing in these Terms of Sale excludes the User's right to a refund, cancellation or remedy if such a right cannot be excluded by law.
9.2.The User may submit a cancellation or refund request at lootx@overpay.io or through an available support channel, specifying the Account identifier, Steam account (if applicable), order or payment identifier, date, amount and grounds for the request.
9.3.If the applicable GEO permits the right to withdraw from a distance contract, the Operator exercises such right in the manner and to the extent provided by mandatory law. If a Loot Box or other digital content is provided immediately, the Operator may request the User's separate express consent to the immediate commencement of performance and separate confirmation of the consequences of such consent for the right of withdrawal, if required by applicable law.
9.4.The User is not entitled to demand a refund solely on the ground that the random result of the Opening does not correspond to their subjective expectations, the desired name of the item, expectations regarding rarity, estimated value, liquidity, possibility of resale or possibility of use on an external platform, if the Loot Box and the Digital Item were provided in accordance with these Terms of Sale and mandatory law.
9.5.No separate purchased but unopened Loot Box is provided in the Service. The possibility of cancelling an operation or obtaining a refund after the successful debiting of the Loot Box price from the balance and the Opening is determined by this Section, taking into account mandatory provisions of applicable law.
9.6.The Operator may refuse a refund to the extent permitted by law if the request is related to fraud, abuse of rights, false information, use of another person's payment instrument, violation of the Terms of Use, confirmed provision of digital content or other circumstances that by law permit such refusal.
9.7.If a refund is to be made, it is made to the original payment method or by another method permitted by law and agreed with the User, within a reasonable time after the decision is made and provided that the information necessary to process the refund is available.
10. Erroneous, Unauthorized and Disputed Payments
10.1.The User must, without undue delay, notify the Operator of a suspected unauthorized payment, erroneous top-up, double debit, erroneous debit from the balance, incomplete Opening or other payment problem.
10.2.The Operator may request documents and information reasonably necessary to investigate the payment problem, including the payment identifier, a statement or confirmation from the bank/payment provider, information about the owner of the payment instrument and the circumstances of the transaction.
10.3.In the event of a duplicate payment, a confirmed technical error or a debiting of the Loot Box price from the balance without the proper Opening and crediting of the Digital Item, the Operator will make an adjustment, reprocess, restore the relevant amount to the balance, refund or provide another appropriate remedy in accordance with the circumstances and applicable law.
10.4.If the User initiates a chargeback, payment dispute or other dispute regarding a transaction, the Operator may, for the period of investigation, suspend access to the Account, Opening, Inventory, Withdrawal and related functions to the extent reasonably necessary to prevent fraud, double benefit, repeated Withdrawal or harm.
10.5.The User undertakes not to initiate a false, bad-faith or unfounded chargeback. This provision does not limit the User's right to apply in good faith to a bank, payment provider, competent authority or court if such right is provided by applicable law.
10.6.In the event of confirmed fraud, unlawful chargeback, use of another person's payment instrument or other bad-faith operation, the Operator may cancel or adjust related Inventory records, restrict the Account, suspend Withdrawal and take other measures provided by the Terms of Use and applicable law.
11. Technical Errors and Correction of Operations
11.1.The Operator makes reasonable efforts to correctly process purchases, Openings, crediting and Withdrawals, but does not guarantee the absence of technical errors, delays, failures, integration errors, temporary unavailability or other unforeseen circumstances.
11.2.In the event of a confirmed technical error, the Operator may take proportionate measures to restore the correct state, including reprocessing the operation, crediting the proper Loot Box or item, cancelling a duplicate record, restoring the item to the Inventory, refunding funds or making another correction required by the circumstances and applicable law.
11.3.The User may not use an error, vulnerability, delay, incorrect price, display failure, duplicate crediting or other technical defect to obtain benefit. The User must report it to the Operator without undue delay.
11.4.The Operator, where possible, notifies the User of a material correction affecting their order, Loot Box, Inventory or Withdrawal, if such notification does not impede security protection, investigation, prevention of harm or compliance with legal requirements.
12. Limitation of Liability
12.1.The Operator's limitations of liability, rules on external services, the Inventory, Withdrawal, technical availability and other aspects of use of the Service are established by the Terms of Use and apply to these Terms of Sale, unless they contradict mandatory provisions of applicable law.
12.2.To the maximum extent permitted by applicable law, the Operator is not liable for the absence of a specific value, liquidity, possibility of resale, exchange, transfer or use of a Digital Item on Steam, in a game or on another external platform.
12.3.Nothing in these Terms of Sale excludes or limits the Operator's liability that cannot be excluded or limited under applicable law, including mandatory consumer rights.
13. Claims, Applicable Law and Disputes
13.1.The User may send a claim regarding purchase, payment, Opening, crediting, Withdrawal, refund or another operation to lootx@overpay.io. To expedite the review, the User must provide the available order and payment identifiers, date, amount, description of the problem and supporting materials.
13.2.The Operator reviews the request within a reasonable time, taking into account the complexity of the matter, the need to verify the payment transaction, interaction with the Payment Infrastructure, Steam, the External Provider or other third parties.
13.3.These Terms of Sale are governed by the law of the Hong Kong Special Administrative Region of the People's Republic of China, unless otherwise required by mandatory rules of the law of the country of the User's habitual residence.
13.4.Nothing in these Terms of Sale deprives a User who is a consumer of the protection granted to them by mandatory rules of the law of their country of habitual residence, if such rules are applicable and cannot be excluded by agreement of the parties.
13.5.Disputes that could not be resolved through negotiations are subject to consideration by a competent court in accordance with applicable procedural law and mandatory rules on jurisdiction.
14. Amendment of the Terms of Sale
14.1.The Operator may amend these Terms of Sale in connection with changes in legislation, regulatory requirements, rules of the Payment Infrastructure or third parties, Service functionality, security measures, anti-fraud procedures or the Operator's business processes.
14.2.The new version of the Terms of Sale is posted on the Website with the effective date and the last updated date. Material changes, if required by applicable law, are brought to the User's attention in advance through the Service, Account or another available communication channel.
14.3.Changes apply primarily to future purchases and do not worsen the User's rights under an already concluded and fully paid contract, except in cases where the change is necessary to comply with law, prevent fraud, rectify an error or protect security.
